December is Final Month for TSX Venture Exchange Temporary Pricing Relief

In August 2012, the TSXV announced certain temporary relief measures from normal private placement pricing requirements.  Unless the TSXV extends their application, these measures are only available until December 31, 2012.  While these measures are in place, if an issuer meets certain financial hardship criteria it can issue a limited number of shares on a private placement basis below the typical 5 cent minimum price and/or issue debentures and warrants with a conversion or exercise price below the usual 10 cent minimum.

If you would like to know more about these temporary relief measures please contact Shane McLean (smclean@lwlaw.com) or any one of our other securities lawyers.
