McLean, Shane

Shane McLean is a partner with LaBarge Weinstein. Clients turn to Shane for concise and practical solutions in a timely manner and he helps clients understand complex legal and business matters in plain language, allowing them to make knowledgeable decisions for their businesses. Shane works with a broad range of clients including small companies, high technology startups, publicly listed companies and almost everything in between and has particular expertise in assisting small to medium cap TSX Venture Exchange listed issuers work through the complexities of life as a public company. He also regularly acts for venture capital, private equity and other institutional investors and lenders.

Shane advises clients on matters such as incorporation, day to day corporate and commercial matters, securities law, stock exchange compliance and corporate governance and clients benefit from his broad experience in public and private debt and equity financings and mergers and acquisitions.

Shane has received the designation of Certified Specialist in Corporate and Commercial Law. The Law Society of Upper Canada certifies only a small percentage of lawyers in Ontario as specialists in 15 areas of law. The Certified Specialist Program incorporates superior standards and professional development requirements for lawyers in Ontario wishing to be certified. Fewer than 20 lawyers in the Province of Ontario hold this designation.

In 2011 Shane was asked to take part in a Law Society of Upper Canada panel reviewing and revising the competencies to be tested on the solicitor bar exam in Ontario.

Selected Clients/Transactions

Shane has been involved in over $750 Million in financings and acquisitions on behalf of public and private companies between 2009 and 2011. Following is a brief sampling of publicly announced transactions Shane has acted on in that time:

  • Acted as counsel to MOSAID Technologies Incorporated (TSX) in its defence of a $480M takeover bid by Wi-LAN Inc. and eventual sale to Sterling Partners for $590M.
  • Acted for Spara Acquisition One Corp (TSXV) when it raised a total of $1.2M in seed and IPO financing.
  • Acted for Dynex Power Inc. (TSXV) when it raised $22.9M through a rights offering.
  • Acted for IMRIS Inc. (TSX, NASDAQ) in raising over US$55M in a cross border public offering, including an initial public offering in the US and NASDAQ listing.
  • Acted for Chemaphor Inc. (TSXV) in over $4M in financings.
  • Acted for C-COM Satellite Systems Inc. (TSXV) in connection with a normal course issuer bid.
  • Acted for Natunola Health Biosciences Inc. (TSXV) in connection with its merger with Advitech Inc. (TSXV) and concurrent $3.5M private placement
  • Acted for Oculus Ventures Corporation (TSXV) in connection with a $700,000 financing and corporate reorganization.

The majority of the clients Shane works with are located in Ottawa and Toronto, but he also works with clients located throughout Ontario, the rest of Canada and the USA.

Education

Shane holds a law degree from the University of Ottawa and a degree in Administrative and Commercial Studies from the University of Western Ontario.

Community Involvement

Shane has taught commercial law and business organizations courses at the University of Ottawa Faculty of Common Law and has spoken with respect to his areas of expertise before various groups including Young Inventors International and the Institute of Electrical and Electronics Engineers (IEEE).
